Which laws does the Paper 2 RTP cover?

Paper 2 is split into two parts. Part I carries 70 marks and covers the Companies Act 2013 and the Limited Liability Partnership Act 2008. Part II carries 30 marks and covers the Other Laws section. Every Revision Test Paper draws questions from both parts.

Part I — Company Law and LLP Law (70 marks)

  • Preliminary and Incorporation of Companies — types of companies, memorandum and articles
  • Prospectus and Allotment of Securities
  • Share Capital and Debentures
  • Acceptance of Deposits by Companies
  • Registration of Charges
  • Management and Administration — meetings, registers and returns
  • Declaration and Payment of Dividend
  • Accounts of Companies
  • Audit and Auditors
  • Companies Incorporated Outside India
  • The Limited Liability Partnership Act, 2008

Part II — Other Laws (30 marks)

  • The General Clauses Act, 1897
  • Interpretation of Statutes — rules of interpretation, deeds and documents
  • The Foreign Exchange Management Act, 1999

How should I use the RTP for Corporate and Other Laws?

Paper 2 is scored on precision rather than volume. Marks are awarded for citing the correct section, applying it to the facts given, and stating a clear conclusion. The suggested answers in each Revision Test Paper are the clearest free demonstration of that expected structure.

1. Do not neglect Part II

The Other Laws section carries 30 of 100 marks across only three topics, which makes it the highest marks-per-page area of the paper. Students routinely under-prepare it and lose easy marks. Solve every Part II question in the last three Revision Test Papers.

2. Follow the Provision → Analysis → Conclusion structure

Open with the relevant section of the Companies Act or the applicable statute, apply it to the facts in the question, then state the conclusion separately. Examiners scan for this three-part structure, and an answer with the right conclusion but no cited provision loses marks.

3. Cite section numbers where you are confident

A correctly cited section signals precision and is rewarded. Where the number is uncertain, name the Act and the principle rather than guessing, because a wrong section number can undermine an otherwise correct answer.

4. Check every provision against the current syllabus

The Companies Act 2013 is amended frequently, and ICAI applies a cut-off date for amendments in each attempt. Verify any provision taken from an older Revision Test Paper against the current ICAI Study Material.

5. Pair the RTP with an MTP and past papers

Each ICAI resource serves a distinct purpose in the final month before an attempt:

Resource Released Best used for
RTP ~2 months before the attempt Chapter-wise revision and learning ICAI's expected answer format
MTP ~3–4 weeks before the attempt Full-paper writing practice in exact exam format and 3-hour duration
Past Papers After each attempt concludes Gauging real difficulty and which chapters carry recurring weightage
